End-User License Agreement

Introduction

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Vladyslav Fedoniuk ("we", "us", "our") for the use of the BackupKit software application, including any components, copies, updates, enhancements, or subsequent versions thereof ("Software"), as well as any associated media, printed materials, and electronic documentation ("Documentation").

Grant of License

We grant you a personal, non-exclusive, non-transferable, limited license to install and use the Software on up to three (3) personal devices that you own or control, as long as you comply with the terms of this EULA. Use of the Software on additional devices requires the purchase of additional licenses.

Trial Period

The Software may be used free of charge for an initial 30-day full-feature trial period, with no credit card required. After the trial expires, a paid license is required for continued use. All trial usage is subject to the terms of this EULA.

Subscription Terms

For subscription licenses (Monthly and Yearly):

• Subscriptions are billed monthly or yearly in advance, according to the plan you select
• Your subscription will automatically renew at the end of each billing period unless cancelled before the renewal date
• You may cancel your subscription at any time through the manage subscription page; after cancellation, your license remains active until the end of the current paid period
• Upon expiration without renewal, the Software stops in a non-destructive way — your backups, configurations, and any restored files remain intact on your storage destinations

Lifetime licenses are a one-time purchase that grants perpetual access to the version of the Software available at the time of purchase, plus 2 years of free updates. After the 2-year update window ends, the version installed continues to work; renewing for additional updates is optional and offered at 50% off.

Refund Policy

We offer a 30-day money-back guarantee on all paid licenses — Monthly, Yearly, and Lifetime — from the date of purchase. To request a refund, submit a refund request or email [email protected]. Refunds are processed within 1–2 business days, no questions asked. Refund requests submitted after the 30-day window are reviewed case by case.

Restrictions

You agree not to:

• Use the Software in any manner that exceeds the rights granted under this EULA
• Modify, reverse engineer, decompile, or disassemble the Software
• Sell, rent, lease, sublicense, or distribute the Software to third parties
• Remove or alter any proprietary notices or labels on the Software
• Use the Software for any unlawful purpose or in a way that violates any applicable law or regulation
• Bypass or attempt to bypass any license enforcement mechanisms

Ownership

All title, ownership rights, and intellectual property rights in and to the Software and Documentation are owned by Vladyslav Fedoniuk. The Software is licensed, not sold. You do not acquire any ownership rights in the Software or Documentation through this EULA.

Automatic Updates

The Software may automatically download and install updates from time to time. These updates are designed to improve and enhance the Software and may take the form of bug fixes, enhanced functions, or completely new versions. You may disable automatic updates in the Software settings, but we strongly recommend keeping your Software updated for optimal performance and security.

Data Collection & Backup Privacy

The Software operates locally on your device and does not automatically transmit usage data, telemetry, or analytics to us. Error logs may be submitted only when you explicitly choose to do so via the in-app bug reporter.

Your backup data, encryption passwords, and storage credentials never reach our servers. Backups are processed locally and uploaded directly from your device to the storage destination you configure (e.g. Amazon S3, Google Drive, your FTP server). Encryption keys remain on your device and are never transmitted. We have no technical means to access, decrypt, or recover your backups; if you lose your encryption password, your backups become unrecoverable.

No Warranties

The Software is provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will meet your requirements, operate without interruption, or be error-free.

Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out of the use of or inability to use this Software, even if we have been advised of the possibility of such damages.

In any case, our entire liability under any provision of this EULA shall be limited to the amount actually paid by you for the Software in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Vladyslav Fedoniuk from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or in any way related to your use of the Software or your breach of this EULA.

Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from us if you fail to comply with any term(s) of this EULA. Upon termination, you must cease all use of the Software and destroy all copies, full or partial, of the Software.

For subscription licenses, termination of this EULA will result in the immediate cessation of your right to use the Software, without entitlement to refund of any prepaid fees.

Export Restrictions

You agree not to export or re-export the Software in violation of any applicable export control laws or regulations, including without limitation the laws and regulations of Poland, the European Union, and the United States.

Assignment

You may not assign this EULA or any rights hereunder without our prior written consent. We may assign this EULA without restriction, including to any successor in interest of our business.

Governing Law and Jurisdiction

This EULA will be governed by and construed in accordance with the laws of Poland. Any disputes arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts located in Rzeszow, Poland.

General

This EULA constitutes the entire agreement between you and Vladyslav Fedoniuk concerning the Software and supersedes any prior agreements, representations, or understandings. If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

We reserve the right to modify this EULA at any time. Such modifications will be effective immediately upon posting on our website or through notification within the Software. Your continued use of the Software after such modifications constitutes your acceptance of the modified terms.
